The transaction values Jefferies tock at approximately $17.24. The investigation concerns possible breaches of fiduciary duty and other violations of state law by the Board of Directors of Jefferies for not acting in the Company’s shareholders' best interests in connection with the sale process to Leucadia. The transaction may undervalue the Company and will result in a loss many Jefferies shareholders. For example Jefferies stock traded at $26.84 on January 14, 2011 and $19.45 as recently as March 26, 2012. In addition, an analyst has set a price target for Jefferies stock at $19.00 per share.
